The purpose of this Letter Agreement is to set out the offer of Glamis Gold Ltd. (“Glamis”) to acquire all of the issued and outstanding common shares of Western Silver Corp. (“Western”) or otherwise combine with Western with the same effect through a statutory plan of arrangement (the “Arrangement”). All dollar amounts referred to herein are to Canadian dollars unless otherwise noted.
