SECOND AMENDMENT AND WAIVER dated as of February 18, 2009 (this “Amendment”) to the Third Amended and Restated Receivables Purchase Agreement dated as of September 4, 2007, as amended by a First Amendment to Third Amended and Restated Receivables Purchase Agreement dated as of March 13, 2008 (as so amended, and as amended, restated, supplemented or otherwise modified from time to time, the “RPA”), among LOL SPV, INC., as Seller (“Seller”), LAND O’LAKES INC., as Servicer (“Servicer”), the Purchasers from time to time parties thereto, and COBANK, ACB, as administrator (“Administrator”).

This Severance Agreement (the “Agreement”) was made and entered into effective as of October 1, 2005 (the “Effective Date”), by and between Chris Policinski (the “Executive”) and Land O’Lakes, Inc., a Minnesota cooperative corporation (the “Company”) and is hereby restated effective as of January 1, 2009.
