MasTec, Inc. (“MasTec”), a Florida corporation, or (the “Company”), proposes to issue and sell to Morgan Stanley & Co. Incorporated (the “Placement Agent”) $150,000,000 aggregate principal amount of its 7 5/8% Senior Notes due 2017 (the “Notes”). The Notes are to be issued pursuant to the provisions of an indenture to be dated as of January 31, 2007 (the “Indenture”) among the Company and the subsidiary guarantors of the Company named in Schedule II hereto (collectively, the “Guarantors”) and U.S. Bank National Association, as Trustee (the “Trustee”).
