Wells Total Return Operating Partnership, L.P. (the “Partnership”) was formed as a limited partnership under the laws of the State of Delaware, pursuant to a Certificate of Limited Partnership filed with the Office of the Secretary of State of the State of Delaware effective as of March 29, 2007. This Agreement of Limited Partnership (the “Agreement”) is entered into this 18th day of April, 2007 between Wells Total Return REIT, Inc., a Maryland corporation and the Limited Partners set forth on Exhibit A hereto.
