WHEREAS the Board of Directors (the “Board”) of Bright Horizons Family Solutions, Inc. (the “Company”) has determined that it is in the best interests of the Company and its stockholders for the Company to agree to provide benefits to certain members of management, including yourself, who are responsible for certain senior team functions for the Company and the overall viability of the Company’s business, in the event that you should leave the employ of the Company under the circumstances described below;

This FIRST AMENDED AND RESTATED CREDIT AGREEMENT (“Agreement”) is entered into as of October 1, 2007, among BRIGHT HORIZONS FAMILY SOLUTIONS, INC., a Delaware corporation (the “Borrower”); each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”); and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
