THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of April 16th, 2008 (the “Effective Date”), by and between Dana Holding Corporation, a Delaware corporation (the “Company”) and Gary L. Convis (the “Executive”) (the Company and the Executive, collectively, the “Parties,” and each, a “Party”). In addition to the terms defined elsewhere herein, initial capitalized terms are defined in Section 29.

This Executive Employment Agreement (“Agreement”), dated for reference purposes only as of the 16th day of April, 2008, is entered into by and between Dana Holding Corporation, a Delaware corporation, with its principal executive office at 4500 Dorr Street, Toledo, Ohio (the “Company”), and Robert H. Marcin, an individual, residing in Michigan (“Executive”).
