THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of May 13, 2008 (the “Effective Date”), by and between Dana Holding Corporation, a Delaware corporation (the “Company”) and James A. Yost (the “Executive”) (the Company and the Executive, collectively, the “Parties,” and each, a “Party”).
