AMENDMENT made as of September 16, 2007, to that certain Fund Accounting Agreement, dated as of December 1, 2003, (the “Agreement”), between PERFORMANCE FUNDS TRUST (the “Trust”), a Delaware trust having its principal place of business at 248 East Capitol Street, Jackson, Mississippi, and CITI FUND SERVICES OHIO, INC. (“Citi”), an Ohio corporation formerly known as BISYS Fund Services Ohio, Inc. having its principal place of business at 3435 Stelzer Road, Columbus, OH 43219.

This Amendment, (“Amendment”) dated November 2, 2006 between Performance Funds Trust (the “Trust”) and BISYS Fund Services, Ohio, Inc. (“BISYS”). The parties hereby amend the Compliance Services Agreement between the Trust and BISYS dated August 18, 2004 (as amended, the “Agreement”) as set forth below.

In this letter, the terms “we,” “us,” and similar words refer to the Distributor, and the terms “you,” “your,” and similar words refer to the dealer executing this agreement, including its associated persons.

(“Citi”), to that certain Administration Agreement, dated December 1, 2003, between the Trust and Citi (as amended pursuant to amendment dated October 1, 2005, and as in effect on the date hereof, the “Agreement”). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.
