This AMENDED AND RESTATED EMPLOYMENT AGREEMENT is effective as of the effective time of the merger of Allied Waste Industries, Inc., a Delaware corporation into RS Merger Wedge, Inc., a Delaware corporation and wholly-owned subsidiary of Republic Services, Inc., a Delaware corporation (the “Merger”) pursuant to the Agreement & Plan of Merger dated as of June 22, 2008 (the “Effective Time”), by and between Republic Services, Inc. (the “Company”) and JAMES E. O’CONNOR (“Employee”).
