THIS CONTRIBUTION AND DISTRIBUTION AGREEMENT, dated as of August 22, 2006 (this “Agreement”), among Weyerhaeuser Company, a Washington corporation (“Weyerhaeuser”), Weyerhaeuser ELI, LLC, a Delaware limited liability company and a wholly-owned subsidiary of Weyerhaeuser (“Newco”), and Weyerhaeuser TIA, Inc., a Delaware corporation and a wholly-owned subsidiary of Weyerhaeuser (“Spinco”).
