This letter agreement sets forth the agreement between TCI Fund Management Limited (TCI), CIFF Capital UK LP and The Children’s Investment Master Fund, and each of their respective affiliates, directors, officers, employees, or authorized agents (together, the TCI Parties) and Canadian National Railway Company (CN or the Company) regarding the withdrawal of a requisition by CIFF Capital UK LP and The Children’s Investment Master Fund, dated September 16, 2021 (the Requisition), for a shareholders’ meeting of CN.
