Reference is made to that certain Letter Agreement incorporating the Securities Purchase Agreement – Standard Terms (the “Securities Purchase Agreement”), dated as of June 12, 2009 between Berkshire Bancorp, Inc. (the “Acquired Company”) and the United States Department of Treasury (“Investor”). Capitalized terms used but not defined herein shall have the meanings assigned to them in the Securities Purchase Agreement.
