THIS SUPPLEMENTAL LIFE INSURANCE AGREEMENT (the “Agreement”) is adopted this 1st day of January, 2008, by and between FIRST NATIONAL BANK OF NORTHERN CALIFORNIA, a bank located in South San Francisco, California (the “Bank”), and DAVID A. CURTIS (the “Executive”).

Effective this 1st day of January, 2007, this EXECUTIVE SUPPLEMENTAL COMPENSATION AGREEMENT (“Agreement”) is adopted by and between FIRST NATIONAL BANK OF NORTHERN CALIFORNIA (“Bank”), a bank located in South San Francisco, California, and DAVID A. CURTIS (“Executive”), a member of a select group of management and highly compensated employees of the Bank. The purpose of this Agreement is to further the growth and development of the Bank by providing Executive with supplemental retirement income, and thereby encourage Executive’s productive efforts on behalf of the Bank and the Bank’s shareholders, and to align the interests of the Executive and those shareholders.
