This Services Agreement (this Agreement) is made as of June 12, 2009 (the “effective date”), by and between ProNet Solutions, Inc., an Arizona corporation maintaining its corporate offices at 4313 East Cotton Center Boulevard, Suite 120, Phoenix, Arizona 85040 (ProNet), and American River Bankshares (ARB), an California corporation maintaining offices at 3100 Zinfandel Dr, Suite 450, Rancho Cordova, CA 95670.
