This ACQUISITION AGREEMENT (this “Agreement”), is entered into on September 1, 2016, by and among SIEBERT FINANCIAL CORP., a New York corporation (the “Company”), THE ESTATE OF MURIEL F. SIEBERT (the “Majority Shareholder”) and KENNEDY CABOT ACQUISITION, LLC a Nevada limited liability company (the “Buyer”). Capitalized terms used herein (including in the immediately preceding sentence) and not otherwise defined herein shall have the meanings set forth in Section 1.01 hereof.
