First Alliance Mortgage Company in its capacities as seller (in such capacity, the "Seller") and as servicer (in such capacity, the "Servicer") and First Alliance Mortgage Loan Trust 1998-4, as the "Purchaser", pursuant to the Pooling and Servicing Agreement dated as of December 1, 1998, (the "Pooling and Servicing Agreement") among the Seller, the Servicer and Norwest Bank Minnesota, National Association, a national banking association, in its capacities as Trustee (in such capacity, the "Trustee") and as master servicer (in such capacity, the "Master Servicer"), hereby confirm their understanding with respect to the sale by the Seller and the purchase by the Purchaser of those Mortgage Loans (the "Subsequent Mortgage Loans") listed on the attached Schedules of Mortgage Loans.
