Pursuant to Paragraph 1(b) of the Investment Advisory Agreement between the SSgA Funds and State Street Bank and Trust Company, dated April 12, 1988, the SSgA Funds advise you that it is creating three new series to be named SSgA Life Solutions Income and Growth Fund, SSgA Life Solutions Balanced Fund, and SSgA Life Solutions Growth Fund (collectively, the "Funds"), and that the SSgA Funds desire State Street Bank and Trust Company to serve as investment advisor with respect to the Funds pursuant to the terms and conditions of the Investment Advisory Agreement. The Funds will not be charged a fee by the Advisor for its investment advisory services, as reflected in the attached Exhibit A.

Pursuant to Paragraph 12 of the Custodian Contract between the SSgA Funds and State Street Bank and Trust Company, dated as of April 11, 1988, the SSgA Funds advise you that that it is creating three new series to be named SSgA Life Solutions Income and Growth Fund, SSgA Life Solutions Balanced Fund, and SSgA Life Solutions Growth Fund (collectively, the "Funds"), and that the SSgA Funds desire State Street Bank and Trust Company to serve as custodian with respect to the Funds pursuant to the terms and conditions of the Custodian Contract. Custodian fees to be assessed for transactions on behalf of the Funds shall be as set forth on the Fee Schedule attached hereto.

Pursuant to Paragraph 1 of the Distribution Agreement between The SSgA Funds and Russell Fund Distributors, Inc., dated April 12, 1988, as amended, the SSgA Funds advise you that it is creating three new series to be named SSgA Life Solutions Income and Growth Fund, SSgA Life Solutions Balanced Fund, and SSgA Life Solutions Growth Fund (collectively, the "Funds"), and that the SSgA Funds desire Russell Fund Distributors, Inc. to serve as Distributor with respect to the Funds pursuant to the terms and conditions of the Distribution Agreement. The fee to be charged by Distributor to the Funds in return for its services will be as set forth in the Distribution Agreement.

The Administrator to the Funds will not charge a fee for its services to the Funds.
