THIS WARRANT AGENCY AGREEMENT (the "Agreement") is dated as of the 12th. day of May, 2004, between Panoshan Marketing Corp., an Alberta corporation, (hereinafter called the "Company") and Interwest Transfer Co., Inc., (hereinafter called "Warrant Agent").
