This FORBEARANCE AGREEMENT and ELEVENTH AMENDMENT TO SECOND AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (“Agreement” or “Tenth Amendment”), effective as of December 27, 2001, is made by and among PW EAGLE, INC.
