This FORBEARANCE AGREEMENT and TENTH AMENDMENT TO SECOND AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (“Agreement” or “Tenth Amendment”), effective as of December 6, 2001, is made by and among PW EAGLE, INC. (f/k/a Eagle Pacific Industries, Inc. and herein “Borrower”), the lenders who are signatories to the Loan Agreement (as defined below) (“Lenders”) and FLEET CAPITAL CORPORATION (“FCC”), as agent for said Lenders (FCC, in such capacity, being “Agent”).
