We understand that TransCanada PipeLines Limited (the "Company") proposes to issue and sell in all the provinces and territories of Canada (the "Jurisdictions"), from time to time, unsecured medium term note debentures with maturities of not less than one year (the "Notes"), as described in the English and French language versions of a final short form shelf prospectus of the Company dated December 21, 2004.
