This letter shall constitute your agreement (“Agreement”) relating to employment with Cowen & Co., LLC. (including any successor entity or its holding company, collectively “Cowen,” or the “Company”) effective as of January 1, 2006, and supersedes and replaces the employment agreement entered into between you and Cowen effective January 1, 2005 (the “Prior Agreement”).
