This REGISTRATION RIGHTS AGREEMENT dated February 17, 2009 (the "Agreement") is entered into by and among Forest Oil Corporation, a New York corporation (the "Company"), Forest Oil Permian Corporation, a Delaware corporation (the "Guarantor") and J.P. Morgan Securities Inc.
