(the “Exchangeable Shares”) for an equivalent number of shares of the Company’s common stock, subject to adjustment to give effect to any stock splits, dividends, recapitalizations or other similar events (the “Exchange Right”), prior to the completion of the Company’s Initial Public Offering (the “IPO”).
