Credit Suisse Group Funding (Guernsey) Limited, a Guernsey incorporated non-cellular company limited by shares (the “Issuer”), proposes to issue and sell to Credit Suisse Securities (USA) LLC and the several initial purchasers named in the Purchase Agreement (collectively, the “Initial Purchasers”), upon the terms set forth in a purchase agreement of even date herewith (the “Purchase Agreement”), $2,000,000,000 aggregate principal amount of its 3.125% Senior Notes due 2020 (the “Initial Securities”) to be unconditionally guaranteed by Credit Suisse Group AG (the “Guarantor” and together with the Issuer, the “Company”). The Initial Securities will be issued pursuant to an Indenture, to be dated as of December 10, 2015 (the “Indenture”) among the Issuer, the Guarantor and U.S. Bank National Association (the “Trustee”).
