WHEREAS Development Co is in the business of conducting experimental development in pharmaceutical and biotechnical products, and specifically related to MC-1 and its derivative compounds (the "Products"), and possesses substantial experience and expertise in relation thereto;

AND WHEREAS the Employer desires to employ or to continue to employ the Employee in its Business, and the Employee desires to be so employed or to be so continued to be employed;

WHEREAS the Consultant, Enterprises and the Corporation have entered into a Consulting Services Agreement (the "Consulting Agreement") made as of the 1st day of October, 2001;
