THIS EXCHANGE AGREEMENT (the “Agreement”) is made this 21st day of September, 2012 by and among Canterbury Resources, Inc., a Nevada corporation (“Pubco”) on one hand, and Echo Automotive, LLC, an Arizona limited liability company (the “Company”) and DBPJ Stock Holding, LLC, an Arizona limited liability company, the sole member of the Company (the “Company Member”), on the other hand.
