THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”) is entered into as of the 20th day of January, 2021 (the “Effective Date”), by and between Elizabeth Proudfit (“Executive”) and NIC Inc., a Delaware corporation (the “Company”). This Agreement amends and restates all prior agreements between Executive and the Company with respect to the subject matter hereof.
