THIS EXCHANGE AGREEMENT (the “Agreement”) made this 23rd day of November, 2010 by and among, Mirador, Inc., a Nevada corporation (“Mirador” or “Pubco”) on one hand and Dewmar International BMC, Inc., a Nevada corporation (“Dewmar” or “the Company”) on behalf of its shareholders on the other hand.
