THIS EXCHANGE AGREEMENT (the “Agreement”) made this 15th day of January, 2013 by and among, All in Blind, Inc., a Nevada corporation, with offices located at 15765 Imperial Highway, La Mirada, CA (“All in Blind, Inc.”) and SDSP Soccer Marketing, Inc. a California corporation, with offices located at 7405 ARMSTRONG PL STE B-13, San Diego, CA 92111, (“SDSP SOCCER MARKETING, INC.” or “the Company”) on behalf of its shareholders, both parties hereinafter referred to as the “Parties.”
