(the “Company”). Unless otherwise defined herein, all capitalized terms used herein shall have the meaning ascribed to them in the Employment Agreement between the Company and John C. Ferrara (“Employee” or “You”), dated September 29, 2015 (“Original Employment Agreement”), as amended by Amendment No. 1 thereto, dated September 28, 2016 (the “First Amendment”) and Amendment No. 2 thereto, dated November 14, 2017 (the “Second Amendment”). The Original Employment Agreement, as amended by the First Amendment and the Second Amendment, is referred to herein as the “Employment Agreement.”
