This Share Exchange Agreement (this “Agreement”) is made as of the 13th day of February, 2023, by and between QMIS TBS Capital Group Corp., a Delaware corporation (“QMIS TBS”), and Chin Hua Fung (the “Seller”), a shareholder of QMIS Securities Capital (M) Sdn. Bhd., a Malaysian incorporated entity (“QSC”). QMIS TBS and the Seller may each be referred to herein as a “Party” and collectively as the “Parties.”
