A dedicated executive management team is essential to protecting and enhancing the best interests of the Company and its shareholders. The Company wishes to provide its executives with compensation and benefits arrangements which would come into effect in circumstances related to a change in control which are competitive with those of other corporations, in order to ensure the Company receives the benefit of the full attention and dedication of the executives at all times, and notwithstanding any threatened or pending change in control of the Company.
