THIS CHANGE IN CONTROL SEVERANCE AGREEMENT (the “Agreement”) dated as of December 21, 2005, is made by and between The J. Jill Group, Inc., a Delaware corporation (“J. Jill”; J. Jill and its Subsidiaries being hereafter referred to as the “Company”), and Dennis J. Adomaitis (the “Executive”).

This Severance Agreement (the “Agreement”) is entered into this 21st day of December, 2005, by and between The J. Jill Group, Inc., a Delaware corporation (“J. Jill”), on behalf of itself and the other entities encompassed within the definition of the term “Company” as set forth in Section 7(c), and Dennis J. Adomaitis (the “Employee”). This Agreement sets forth the agreement of the parties relating to the severance arrangements for the Employee under certain circumstances. Capitalized terms used in this Agreement are defined in Section 7 hereof.
