THIS AGREEMENT is made and entered into this 8th day of March, 2006, by and among SKYLINE FUNDS, a Massachusetts trust (the “Trust”), between SKYLINE ASSET MANAGEMENT, L.P., a Massachusetts trust (the “Manager”) which acts as investment advisor to the Trust and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (“USBFS”).
