Northwest Airlines, Inc. (the “Company”) previously entered into a Management Compensation Agreement dated as of [ ] ([as amended,] the “Agreement”) with you, pursuant to which the Company agreed to provide you with certain airline pass travel privileges for the personal use of you, your spouse or registered domestic partner and dependent children as well as other benefits, upon the terms and conditions set forth in your Agreement.
