THIS SECOND AMENDED AND RESTATED MANAGEMENT AGREEMENT is made as of October 27, 2008 (this “Agreement”) by and between Gramercy Capital Corp., a Maryland corporation (the “Parent”), GKK Capital LP, a Delaware limited partnership (the “Operating Partnership” and with the Parent and Subsidiaries and other entities controlled by either of them, the “Company”), and GKK Manager LLC, a Delaware limited liability company (the “Manager”).

This SEVERANCE AGREEMENT (“Agreement”) is made as of the 27th day of October, 2008, between Roger Cozzi (“Executive”) and Gramercy Capital Corp., a Maryland corporation (“Gramercy”), to be effective as of October 28, 2008 (the “Effective Date”). THIS SERVICES AGREEMENT, dated as of October 27, 2008 (this “Agreement”), by and among GKK Capital LP, a Delaware limited partnership (“GKKOP”), Gramercy Capital Corp., a Maryland corporation (“GKK” and, together with GKKOP, the “Company”), SL Green Operating Partnership, L.P., a Delaware limited partnership (“SLGOP”), and SL Green Realty Corp., a Maryland corporation (“SL Green” and, together with SLGOP, “SLG”). With respect to the obligations of the Company as set forth herein, such obligations shall be joint and several as between GKK and GKKOP.
