This Amended and Restated Executive Employment Agreement (the “Agreement”) entered into effective as of December 31, 2008 (the “Effective Date”) between Genzyme Corporation (the “Company”), a Massachusetts corporation with its principal executive offices at 500 Kendall Street, Cambridge, Massachusetts 02142, and Henri A. Termeer (the “Executive”) amends and restates in its entirety the Executive Employment Agreement dated as of January 1, 1990 between the Company and the Executive (the “Prior Agreement”).
