Our Board of Directors believes that it is in the best interests of Accuride Corporation (“Accuride”) and its shareholders to take appropriate steps to allay any concerns you may have about your future employment opportunities with Accuride and its “Affiliates” (as defined in Section 2(f)). Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”) applies to the Agreement and the Award granted under the Agreement. By this instrument, because the Participant became eligible to terminate employment on account of a Permitted Retirement during the four year vesting schedule set forth in the Agreement, the Company desires to amend the Agreement to comply with the final regulations issued under Section 409A of the Code and to satisfy the documentation requirements of Section 409A of the Code, which are effective as of January 1, 2009.
