This AGREEMENT AND PLAN OF REORGANIZATION (this “Agreement”) dated as of April 9, 2012, by and among: (i) OLD MUTUAL FUNDS II, a Delaware statutory trust (“Old Mutual Trust”), on behalf of the Old Mutual Heitman REIT Fund (the “Target Fund”); and (ii) FUNDVANTAGE TRUST, a Delaware statutory trust (“FundVantage”), on behalf of the Heitman REIT Fund (the “Acquiring Fund”) (collectively, the “Parties” and each, a “Party”). Heitman Real Estate Securities LLC, a Delaware limited liability company (“HRES”), joins this Agreement solely for purposes of agreeing to be bound by paragraphs 7.1, 7.2, 9.2, 10.5, 10.13 and 10.14. Capitalized terms not otherwise defined herein shall have the meaning set forth in Article XI hereof.
