THIS AGREEMENT is effective as of May 1, 2013, among Northern Lights Variable Trust, an open-end management investment company organized as a Delaware business trust (the “Trust”), ValMark Advisers, Inc., an Ohio corporation (“Adviser”), Northern Lights Distributors, LLC, a Nebraska limited liability company (“Distributor” and collectively with the Trust and Adviser, “Trust Parties”) and Integrity Life Insurance Company, a life insurance company organized under the laws of the State of Ohio (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as the parties hereto may amend it from time to time, (the “Accounts”) (individually, a “Party”, and collectively, the “Parties”).

This Agreement, effective as of May 1, 2013, is among Integrity Life Insurance Company, a life insurance company organized under the laws of the State of Ohio (the “Company”), Touchstone Securities, Inc., a Nebraska corporation and principal underwriter and distributor of variable insurance contracts issued by the Company (“Touchstone”) and Northern Lights Variable Trust, an open-end management investment company organized as a Delaware business trust (the “Trust”), and is intended to supplement the Participation Agreement dated May 1, 2013 by and among the Company, the Trust and related Trust Parties (“Participation Agreement”). Any capitalized terms not otherwise defined herein shall have the same meaning as provided in the Participation Agreement.

This Amendment to that certain Participation Agreement (“Agreement”), dated January 1, 2008, by and among PIMCO Variable Insurance Trust (the “Fund”), Allianz Global Investors Distributors LLC, replaced by PIMCO Investment LLC via a Novation dated April 1, 2011 (the “Underwriter”) and Integrity Life Insurance Company (the “Company”) is effective this 1st day of May 2011.
