This is to notify you that pursuant to a Stock Pledge and Security Agreement signed by ORSON OLIVER, Personal Representative of the ESTATE OF HARRY KLETTER, DECEASED (the “Pledgor”), THE BANK OF KENTUCKY, INC., a Kentucky banking corporation (“Secured Party”) has been granted a security interest in the securities described in the attached Exhibit A (the “Collateral”). You are hereby notified of Secured Party’s security interest, including the provision that the Collateral, including all dividends in stock, stock splits and other proceeds are not to be paid to anyone other than to Secured Party until and unless you receive further written notice from Secured Party. Any regular cash dividends may be paid to the Pledgor, subject to further instructions from Secured Party as provided below. You are also hereby authorized and directed to send a photocopy of any and all statements, reports and other information relating to the Collateral directly to Secured Party at the above address. Sean Garber and Algar, Inc. each hereby agree, in accordance with Rule 13d-1(k) under the Securities Exchange Act of 1934, that the Schedule 13D filed herewith, and any amendments thereto, relating to the shares of common stock of Industrial Services of America, Inc. is, and will be, jointly filed on behalf of each such person and further agree that this Joint Filing Agreement be included as an Exhibit to such joint filings.
