This Termination Agreement (this “Agreement”) is made and effective on and as of this 27th day of October, 2015 (the “Effective Date”), by and between Ares Holdings L.P., a Delaware limited partnership (“AH LP”), and Ares Investments L.P., a Delaware limited partnership (“AI LP”), on the one hand, and Kayne Anderson Capital Advisors, L.P., a California limited partnership (“KACALP”), KA Fund Advisors, LLC, a Delaware limited liability company (“KAFA”), Kayne Anderson Investment Management Inc., a Nevada corporation (“KA Investment Management”), each of the other KA Owners party to the Merger Agreement (as defined below), acting through David Shladovsky as representative of the KA Owners (the “Sellers’ Representative”), and the Sellers’ Representative, on the other hand.
