This First Amended and Restated Employment Agreement (“Agreement”) is entered into as of December 1, 2016 (the “Amendment Effective Date”) by and between Enviva Management Company, LLC, a Delaware limited liability company (the “Company”), and John K. Keppler (“Executive”) and supersedes and replaces in its entirety the Employment Agreement (the “Prior Agreement”) dated June 28, 2014 by and between Enviva Holdings, LP, a Delaware limited partnership (“Holdings”), and Executive, as amended by the Assignment, Assumption and Amendment Agreement by and among Holdings, the Company, and Executive dated April 9, 2015 (the “Assignment Agreement”).
