Avadel Pharmaceuticals plc, an Irish incorporated public limited company (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell from time to time through Jefferies LLC, as sales agent and/or principal (the “Agent”), American Depositary Shares (the “ADSs”), each representing one ordinary share of the Company, nominal value $0.01 per share (the “Common Shares”), on the terms set forth in this agreement (this “Agreement”).
