THIS EXCHANGE AGREEMENT (the “Agreement”) is dated June 24, 2020, by and between Cinedigm Corp., a Delaware corporation (the “Company”), BlueMountain Global Volatility Master Fund L.P., a Cayman Islands exempted limited partnership (“BMGV”), BlueMountain Logan Opportunities Master Fund L.P., a Cayman Islands exempted limited partnership (“BMLO”), Blue Mountain Credit Alternatives Master Fund L.P., a Cayman Islands exempted limited partnership (“BMCA”), BlueMountain Montenvers Master Fund SCA SICAV-SIF, a Luxembourg corporate partnership limited by shares (“BMMF”), and BlueMountain Foinaven Master Fund L.P., a Cayman Islands exempted limited partnership (“BMFV” and, collectively with BMGV, BMLO, BMCA, and BMMF, the “Holders” and each, a “Holder”).
