Capitalized terms used but not defined in this Letter Agreement have the meanings ascribed to them in the Merger Agreement.

This Side Letter Agreement is intended to memorialize our agreement regarding the treatment of your Golden Equity Awards in the Merger. This Side Letter Agreement shall automatically terminate and be of no force or effect if your employment with Cimarex is terminated before the Closing or the Merger Agreement is terminated for any reason without the occurrence of the Closing.

NOW, THEREFORE, for the reasons set forth above, in consideration of Executive’s continuing service to the Company after the effective date hereof, and compensation paid therefor, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, effective as of May 23, 2021, clause (III) of the definition of a “Change in Control” in the Agreement is hereby amended and restated to read as follows:
