This EMPLOYMENT AGREEMENT (the “Agreement”), is entered into as of January 5, 2023, by and between Antelope Enterprise Holdings Ltd., incorporated under the laws of the British Virgin Islands (the “Company”), and Weilai (Will) Zhang (the “Employee”). Except with respect to the direct employment of the Employee by the Company, the term “Company” as used herein with respect to all obligations of the Employee hereunder shall be deemed to include the Company and all of its subsidiaries and affiliated entities (collectively, the “Group”).

This Share Purchase Agreement (this “Agreement”) is made and entered into as of December 30, 2022 by and among (i) New Stonehenge Limited, a British Virgin Islands exempt company (the “Purchaser”), (ii) Stand Best Creation Limited, a Hong Kong company (the “Company”), and (iii) Success Winner Limited, a British Virgin Islands exempt company (“SWL” or the “Seller”). The Purchaser, the Company and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties”.
