As the distributor of the shares of beneficial interest (“Shares”) of Driehaus Mutual Funds (the “Company”), Foreside Financial Services, LLC (“Distributor”) hereby invites you to participate in the selling group on the following terms and conditions. In this agreement, the terms “we,” “us,” and similar words refer to the Distributor, and the terms “you,” “your,” and similar words and “Dealer” refer to the dealer executing this agreement, including its associated persons.

Guggenheim Funds Distributors, LLC (the “Distributor”) serves as the principal underwriter for the Guggenheim family of investment companies, including the open-end investment companies (the “Open-End Funds”) and closed-end investment companies (the “Closed-End Funds”) set forth on Schedule A to this Agreement (each, a “Fund” and, collectively, the “Funds”), as such schedule may be amended by notice from time to time. The Distributor and American United Life Insurance Company, and the undersigned Broker Dealer, OneAmerica Securities Inc. (hereinafter refereed to, as applicable, “Dealer”) hereby agree that Dealer will participate in the distribution of shares of the Funds (“Shares”), subject to the terms of this Agreement.

This Dealer Agreement (the “Agreement”) is made as of November , 2022 by and between American United Life Insurance Company, an Indiana Corporation, the undersigned broker- dealer, OneAmerica Securities, Inc., (“OAS”) an Indiana Corporation (hereinafter collectively referred to as “Dealer”, as applicable), and Blackstone Securities Partners L.P., a Delaware limited partnership (the “Distributor”). For purposes of this Agreement, “Distributor” shall include any of Distributor’s designees or agents.
