THIS ADVISORY AGREEMENT (this “Agreement”), dated as of the 7th day of June, 2023 (the “Effective Date”), is by and among BGO Industrial Real Estate Income Trust, Inc., a Maryland corporation (the “Company”), BGO IREIT Operating Partnership LP, a Delaware limited partnership (the “Operating Partnership”), and BentallGreenOak (U.S.) Limited Partnership, a Delaware limited partnership (the “Adviser”). Capitalized terms used herein shall have the meanings ascribed to them in Section 1 below.

This Amended and Restated Limited Partnership Agreement (as amended, modified supplemented or restated from time to time, as the context requires, this “Agreement”) of BGO IREIT Operating Partnership LP, a Delaware limited partnership (the “Partnership”), dated as of June 7, 2023, is entered into by and among BGO Industrial Real Estate Income Trust, Inc., a Maryland corporation, as General Partner and as a Limited Partner, BGO REIT Special Limited Partner LP, as a special limited partner, and the limited partners party hereto from time to time.
